General Terms & Conditions

1. Pricing

All prices quoted are Ex-Factory, Indore (M.P.)
Prices are exclusive of GST, transportation, insurance, and any other incidental expenses.
Any costs incurred after delivery at the factory gate shall be borne entirely by the buyer.

 

2. Taxes

Goods and Services Tax (GST) shall be charged extra as applicable at the time of delivery, as per prevailing government regulations.

 

3. Billing

Only a Proforma Invoice shall be issued at the time of order confirmation for advance/payment processing purposes. The Final Tax Invoice shall be generated and issued only upon receipt of 100% payment against the order. Ownership of goods shall remain with the seller until full and final payment.

 

4. Delivery

The delivery period shall depend on the type of machine or spare being ordered.
The indicative delivery timeline shall be communicated at the time of order confirmation and shall commence from the date of receipt of:

  • Confirmed purchase order
  • Complete technical and commercial details
  • Agreed advance payment
  • Time shall not be of the essence

All delivery timelines are subject to material availability, operational conditions, transport availability, and Force Majeure clause, including circumstances beyond the seller’s reasonable control. Goods once sold shall not be taken back.

 

5. Payment Terms

  • 60% of the quotation value is payable as advance at the time of order confirmation.
  • The balance amount shall be paid against Proforma Invoice prior to the dispatch/delivery of goods.
  • All payments must be made through NEFT/RTGS in favour of the firm.

5a. Delay In Payment

Any amount remaining unpaid beyond the due date shall attract interest at the rate of 18% per annum (or the maximum rate permitted under applicable law), calculated from the due date until the date of actual payment. The buyer shall also be liable for all reasonable costs incurred by the seller towards recovery of outstanding dues, including legal expenses, collection charges, and court fees.

 

6. Quotation Validity

The quotation is valid for a period of 7 (seven) days from the date of issue unless stated otherwise revised or withdrawn by the seller in writing.

 

7. Warranty

  • Warranty period is 12 (twelve) months from the date of supply against manufacturing defects only for machines and/or spares supplied from the date of commissioning or dispatch, whichever is earlier.
  • Warranty for bought-out items/components shall be covered as per respective manufacturer’s warranty terms and conditions.

  • Warranty excludes damages caused due to improper handling, electrical fluctuation, unauthorized repair/modification, misuse, negligence, physical damage, or normal wear and tear. Liability under warranty shall be limited to repair or replacement of defective parts/components only.

  • The seller shall not be liable for consequential, indirect, incidental, or loss-of-profit damages.

8. Erection & Commissioning

  • Erection and commissioning services are free of charge for up to 4 (four) days.
  • Beyond this period, charges shall be applicable at ₹3,500 per day.
  • Lodging, boarding, and local conveyance expenses of service engineer(s)/supervisor(s) shall be borne by the buyer from the first day of arrival at the site.
  • Transportation, cables, unloading, and related expenses shall also be borne by the buyer.

9. Cancellation

Once the purchase order is placed and accepted by the seller, the same shall not be cancelled without prior written consent of the seller. In the event of cancellation the seller reserves the right to recover all costs, losses, and expenses incurred and/or forfeit the advance payment either wholly or partially, at its sole discretion.

 

10. Legal Jurisdiction

All disputes arising out of or in connection with quotation, order, supply, installation, payment, or related transactions shall be subject exclusively to the jurisdiction of the competent courts at Indore, Madhya Pradesh only.

12. Outstanding Payments

With effect from 1 April 2026, all unpaid, partially paid, overdue, or outstanding amounts due to the Company, including those arising from machines, spares, services, or supplies provided during FY 2025-26 or thereafter, shall be subject to the payment, interest, recovery, and dispute resolution provisions contained in these Terms and Conditions to the extent permitted under applicable law and any binding contractual arrangements between the parties.

 

13. Force Majeure

The seller shall not be liable for any delay or failure in performance due to causes beyond reasonable control, including but not limited to natural calamities, strikes, transport delays, government restrictions, war, pandemic, fire, power failure, or shortage of materials. Force Majeure conditions and purchaser-side constraints shall not be treated as seller default, deficiency in service, or grounds for adverse performance evaluation.
